Terms of Service

Liyyou (hereinafter referred to as "the Company," "we," or "us") is a professional vacuum cleaner manufacturer established in 2013, headquartered in China. With over 13 years of industry experience, we have exported products to more than 35 countries across Europe, North America, Asia, the Middle East, and Africa.

We hold certifications including ISO9001, ISO14001, and BSCI, and maintain over 180 patents. Our services encompass OEM, ODM, SKD, and CKD manufacturing, as well as one-stop product development from concept to mass production.

These Terms of Service govern all business relationships, transactions, and engagements between Liyyou and its clients, partners, and visitors to our official channels.

Liyyou provides the following B2B manufacturing and product development services:

The Company reserves the right to modify, suspend, or discontinue any service offering at its discretion, with reasonable notice provided to affected clients.

All business engagements are formalized through a written Purchase Order (PO) or Sales Contract mutually signed by both parties. No verbal agreement shall be considered binding.

• Orders are confirmed only upon receipt of a signed contract and the agreed deposit payment.
• Minimum Order Quantity (MOQ) for custom orders starts at 500 units. Standard catalog products may have different MOQ requirements.
• Rapid prototyping and sampling are available with a turnaround time of approximately 7 business days.
• Standard production lead time is 40 days from order confirmation and deposit receipt.
• Any modifications to confirmed orders must be submitted in writing and are subject to feasibility review and potential cost adjustments.
• Liyyou reserves the right to decline orders that conflict with applicable laws, regulations, or company policy.

All prices quoted are in USD (United States Dollars) unless otherwise specified in the contract. Quoted prices are valid for 30 days from the date of issuance.

• Accepted payment methods include T/T (Telegraphic Transfer), L/C (Letter of Credit), and other methods as mutually agreed.
• Bank charges and transfer fees are the responsibility of the buyer.
• Late payments may result in order suspension and may incur interest charges as specified in the contract.
• Prices do not include import duties, taxes, or customs clearance fees, which are the sole responsibility of the buyer.

Liyyou holds over 180 patents covering designs, utility models, and inventions related to vacuum cleaner technology. The following terms govern intellectual property rights in all business engagements:

Both parties acknowledge that during the course of business, they may receive or have access to confidential information including but not limited to product designs, technical specifications, pricing, business strategies, and customer data.

• Both parties agree to maintain strict confidentiality of all proprietary information disclosed during the business relationship.
• Confidential information shall not be disclosed to any third party without prior written consent from the disclosing party.
• Confidentiality obligations remain in effect for a period of 5 years following the termination of the business relationship.
• A separate Non-Disclosure Agreement (NDA) may be executed upon request prior to detailed technical discussions.
• Exceptions apply to information that is publicly available, independently developed, or required to be disclosed by law.

Liyyou maintains a rigorous quality management system certified to ISO9001 standards. All products are manufactured under strict quality control protocols to ensure consistency and reliability.

• Specific certification requirements must be communicated at the time of order placement and will be reflected in the product contract.
• Certification costs, where applicable, will be included in the product quotation or billed separately as agreed.
• Liyyou does not guarantee that products will meet certification requirements in jurisdictions not explicitly specified in the order.
• Clients are responsible for verifying that products comply with all local regulations in their target markets.

Liyyou ships to over 35 countries worldwide. Delivery terms are specified in the individual sales contract and typically follow standard international trade terms (Incoterms 2020).

• Standard delivery lead time is 40 days from the date of order confirmation and receipt of deposit.
• Delivery dates are estimates and may be subject to change due to production schedules, force majeure events, or shipping delays beyond our control.
• Risk of loss or damage transfers to the buyer upon delivery to the agreed point of handover as defined by the applicable Incoterms.
• Liyyou will provide shipping documentation including commercial invoice, packing list, and bill of lading as required.
• Any claims for shipping damage must be submitted within 7 days of receipt of goods, supported by photographic evidence.
• Partial shipments may be arranged with prior written agreement between both parties.

Liyyou warrants that all products are manufactured in accordance with agreed specifications and are free from material defects under normal use conditions.

• Warranty claims must be submitted in writing with supporting documentation including product serial numbers, photos, and a description of the defect.
• Warranty does not cover damage resulting from misuse, unauthorized modifications, improper storage, or normal wear and tear.
• Liyyou's liability is limited to the repair, replacement, or refund of defective products at our sole discretion.
• In no event shall Liyyou be liable for indirect, incidental, consequential, or punitive damages arising from the use or inability to use our products.
• Total liability shall not exceed the total value of the relevant purchase order.

These Terms of Service and all related agreements shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to conflict of law provisions.

• Any disputes arising out of or in connection with these Terms shall first be resolved through good-faith negotiation between the parties.
• If negotiation fails, disputes shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration.
• The arbitration shall be conducted in Mandarin Chinese, with English translations provided upon request.
• The arbitral award shall be final and binding upon both parties.
• Nothing in this clause shall prevent either party from seeking injunctive or other equitable relief in courts of competent jurisdiction.

Liyyou reserves the right to update or modify these Terms of Service at any time. Changes will be communicated through official channels and will take effect upon publication.

• Continued engagement with Liyyou following the publication of updated terms constitutes acceptance of the revised Terms of Service.
• Material changes will be communicated with at least 30 days notice to existing clients.
• Amendments to individual contracts require written agreement from both parties.
• The most current version of these Terms shall always supersede previous versions.
